TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL INFORMATION AND MATERIALS PROVIDED THROUGH IT ARE MADE AVAILABLE ON AN "AS IS" AND "AS AVAILABLE" BASIS.

AUTHBASE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

AUTHBASE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE FROM ALL THREATS, OR FREE OF HARMFUL COMPONENTS.

NO INFORMATION OBTAINED THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY PROVIDED IN AN APPLICABLE WRITTEN AGREEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTHBASE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SITE.

THIS INCLUDES DAMAGES ARISING FROM LOSS OF PROFITS, BUSINESS OPPORTUNITIES, DATA, OR ACCESS TO THE SITE.

TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT THE FOREGOING LIMITATIONS, AUTHBASE'S TOTAL LIABILITY FOR CLAIMS ARISING FROM USE OF THE SITE SHALL NOT EXCEED THE GREATER OF:

  • AMOUNTS PAID TO AUTHBASE IN CONNECTION WITH THE APPLICABLE SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR
  • ONE HUNDRED DOLLARS ($100).

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT TO THE EXTENT REQUIRED BY APPLICABLE LAW.

14. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Authbase and its affiliates, officers, employees, and agents against third-party claims, liabilities, damages, costs, and reasonable attorneys' fees arising from your unlawful use of the Site, violation of these Terms, or infringement of another person's rights.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR RIGHT TO BRING A CLAIM IN COURT OR PARTICIPATE IN A CLASS ACTION.

Informal Resolution

Before initiating formal proceedings, you and Authbase agree to attempt to resolve disputes informally for at least thirty (30) days following written notice of the claim.

Notices should describe the dispute and proposed resolution and be sent to:

Authbase — Attn: Legal Dispute
3250 Bonita Beach Rd., #205-213
Bonita Springs, FL 34134

Email: support@authbase.io

Binding Arbitration

If the dispute is not resolved through the informal process, claims arising from or relating to the Site or these Terms shall, except as provided below or prohibited by applicable law, be resolved through final and binding individual arbitration.

Arbitration shall be administered by Arbitration Resolution Services Inc. ("ARS") under its applicable arbitration rules.

If ARS is unavailable, the parties shall seek a mutually acceptable, widely recognized arbitration organization.

The arbitrator shall apply California law, without regard to conflict-of-law principles, subject to applicable federal law.

Arbitration procedures, fees, available relief, and enforcement of awards shall be governed by applicable law and the arbitration organization's rules.

Exceptions

The arbitration requirement does not prevent either party from seeking appropriate relief in state or federal courts located in California concerning:

  • Intellectual property rights.
  • Unauthorized access to data or systems.
  • Injunctive or equitable relief where permitted by applicable law.

Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

BY AGREEING TO THESE TERMS, YOU AND AUTHBASE WAIVE THE RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO THIS AGREEMENT, TO THE EXTENT PERMITTED BY LAW.

Any arbitration award may be entered as a judgment in a court of competent jurisdiction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles, except where applicable federal law or mandatory local law requires otherwise.

For matters not subject to arbitration, the parties submit to the jurisdiction of the applicable state or federal courts located in California, subject to applicable law.

17. Updates to These Terms

Authbase may revise these Terms from time to time.

Updated Terms will be published on the Site with a revised Last Updated date. Additional notice will be provided where required by applicable law.

Continued use of the Site after an applicable update constitutes acceptance of the revised Terms to the extent permitted by law.

18. General Provisions

These Terms, together with applicable privacy notices and any additional terms expressly incorporated by reference, govern your use of the Site.

If a provision is found unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.

Failure by Authbase to enforce a provision does not constitute a waiver of its rights.

Authbase may assign its rights and obligations as permitted by law.
